Cancellation policy
This page tells you the terms and conditions on which we will supply to you the subscription services listed on our website www.headstartprimary.com (our site).
These Terms and Conditions also govern your use of our service. As used in these Terms and Conditions, “HeadStart subscription service”, “the service” or “the subscription service” means the service provided by HeadStart Primary Ltd. for unlimited access to our teaching resources as outlined when you register for a membership.
Please read these terms and conditions carefully before registering for our subscription services. You should understand that by subscribing to one of our membership plans, you agree to be bound by these terms and conditions.
You should print a copy of these terms and conditions for future reference.
1. Membership
1.1. Your HeadStart membership will continue until cancelled by you or by us. To use the subscription service you must provide us with a Payment Method. “Payment Method” means a current, valid, accepted method of payment. We accept credit/debit card payments through Stripe and we also offer an invoice option to UK based schools. The invoice must be paid within 30 days of receipt. Unless you cancel your membership before your next billing date, you authorise us to charge the membership fee for the next billing cycle to your chosen Payment Method (see “Cancellation” below).
1.2. We have a number of different membership levels. Some membership levels may have different conditions and access limitations, which will be made clear at the point of registration. You can find specific details regarding your membership by logging in to your account through our website and clicking on the “My Account/Billing“ link available at the top of the welcome page.
2. Billing and Cancellation
2.1. Billing Cycle. We offer a monthly and a yearly billing cycle dependent upon which membership level you choose. The membership fee for the subscription service will be charged to your Payment Method on the specific payment date indicated on the “My Account/Billing” page. The length of your billing cycle will depend on the type of subscription that you chose when you signed up for the service. Login through our website and click on the “My Account/Billing” link on the welcome page to see your next payment date.
2.2. Payment Methods. To use our subscription service you must provide a current, valid Payment Method. We accept subscription payments via credit/debit card or invoice (only schools based in the UK have the option to pay via invoice). You authorise us to charge the Payment Method associated to your account for payment of your subscription fee. You remain responsible for any uncollected amounts. If a payment is not successfully settled, due to expiration, insufficient funds, or otherwise, and you do not cancel your account, we may suspend your access to the service until we have successfully charged a valid Payment Method.
2.3. Cooling off period. The cooling off or cancellation period is 14 days from the date that the subscription service contract started (this is either the date that payment for the service was made or the date stated on the invoice, where applicable). Within this time you may cancel without reason and we will refund you the full amount within 14 days of receiving your notice of cancellation.
2.4. Cancellation. You can cancel your membership at any time, and you will continue to have access to the subscription service until the end of your current billing period. Payments are non-refundable and we do not provide refunds or credits for any partial membership periods. If you pay for your membership by invoice, to cancel you should email info@headstartprimary.com and use the subject line ‘Cancel My Membership’. You must include all details relevant to your membership including the registered email address and username. Your membership will be cancelled from the date that your email was sent or the date that the call was made. Alternatively, you can cancel by calling us on 01200 423405. If you pay for your membership by credit/debit card, you can also cancel via the “My Account/Billing” page.
2.5. Changes to the Price and Subscription Plans. We may in the future change our subscription plans and the price of our service; however, any price changes or changes to your subscription plans will be made clear to you in writing and will apply no earlier than 30 days following notice to you.
3. Passwords and Account Access
3.1. The member who created the subscription account and whose Payment Method is charged (the “Account Owner”) is responsible for any activity that occurs through the account.
3.2. Upon registration, you will be issued with one username and password. These login credentials may be shared between staff within your school but are not allowed to be shared outside of the purchasing institution. For private individual customers, your login credentials are not allowed to be disclosed or shared with any other user or person. We monitor logins through our website analytics and any suspected fraudulent activity may result in your account being terminated or placed on hold while we investigate further.
3.3. The Account Owner is responsible for updating and maintaining the accuracy of the information you provide to us relating to your account. We can terminate your account or place your account on hold in order to protect you or HeadStart Primary Ltd. from any fraudulent activity.
4. Premium Membership Service
4.1. You must be at least 18 years of age to become a member of the subscription service.
4.2. Your Premium Membership allows you access to HeadStart Primary’s library of resources relevant to your chosen membership level. This access includes viewing, printing and downloading the resources. This access is unlimited for the duration of your subscription.
4.3. HeadStart Primary Ltd. owns all intellectual property rights for the content included with all membership levels. These works are protected by copyright laws and all such rights are reserved.
4.4. The subscription service and any content viewed, printed or downloaded through the service are for your professional and non-commercial use only and may not be shared with individuals or organisations beyond the purchasing school.
4.5. Subscription to our Premium Membership includes free test analysis programs for all applicable resources. The test analysis programs can be accessed and downloaded through your Premium Membership account.
4.6. Once a subscription is cancelled, the user will no longer have access to their Premium Membership account and will no longer be permitted to use any of the content, with exception of the free test analysis programs. The former member will also not be permitted to reproduce any copies of the resources that they may have previously printed out or downloaded, with exception of the free test analysis programs.
5. Events Outside of Our Control
5.1. We will not be liable or responsible for any failure to perform, or delay in performance
of, any of our obligations under a Contract that is caused by events outside our reasonable control (Force Majeure Event).
5.2. A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:
5.2.1. Strikes, lock-outs or other industrial action;
5.2.2. Civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;
5.2.3. Fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;
5.2.4. Impossibility of the use of railways, shipping, aircraft, motor transport or other means of public or private transport;
5.2.5. Impossibility of the use of public or private telecommunications networks; and
5.2.6. The acts, decrees, legislation, regulations or restrictions of any government.
5.3. Our performance under any Contract is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under the Contract may be performed despite the Force Majeure Event.
6. Severability
If any of these terms and Conditions or any provisions of a Contract are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.
7. Entire Agreement
7.1. These terms and conditions and any document expressly referred to in them constitute the whole agreement between us and supersede all previous discussions, correspondence, negotiations, previous arrangement, understanding or agreement between us relating to the subject matter of any Contract.
7.2. We each acknowledge that, in entering into a Contract, neither of us relies on any representation or warranty (whether made innocently or negligently) that is not set out in these terms and conditions or the documents referred to in them.
7.3. Each of us agrees that our only liability in respect of those representations and warranties that are set out in this agreement (whether made innocently or negligently) will be for breach of contract.
7.4. Nothing in this clause limits or excludes any liability for fraud.
8. Our Right to Vary These Terms and Conditions
8.1. We have the right to revise and amend these terms and conditions from time to time to reflect changes in market conditions affecting our business, changes in technology, changes in payment methods, changes in relevant laws and regulatory requirements and changes in our system’s capabilities.
8.2. You will be subject to the policies and terms and conditions in force at the time that you order Products from us, unless any change to those policies or these terms and conditions is required to be made by law or governmental authority (in which case it will apply to orders previously placed by you).
9. Law and Jurisdiction
Contracts for the purchase of Products and services through our site and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) will be governed by English law. Any dispute or claim arising out of or in connection with such Contracts or their formation (including non-contractual disputes or claims) will be subject to the non-exclusive jurisdiction of the courts of England and Wales.
10. Other Important Terms
10.1 We may transfer our obligations and rights under these Terms and Conditions to a third party (this may happen, for example, if we sell our business). If this occurs, you will be informed by us in writing. Your rights under these Terms and Conditions will not be affected and our obligations under these Terms and Conditions will be transferred to the third party who will remain bound by them.
10.2 In the unlikely event that our business ceases trading completely, you will retain access to your chosen membership level until the end of your current billing cycle, at which point your Premium Membership will permanently expire. If this occurs, you will be informed by us in writing.
